Megatron is a tough guy from space and has more brute force compared to Shadow. Megatron's power and guard is significantly higher which gives him the advantage in close combat. Shadow may be fast, but Megatron is no slouch and can easily dodge Shadow's attacks. Megatron's rocket launcher is a powerful weapon and it could easily take down Shadow. Plus, the fact that Megatron can transform into a tank makes him more lethal and Shadow would have a hard time stopping him.
